Terms of Service

Introduction

These Terms of Service ("Terms") govern your access to and use of JoinNests, a membership management platform operated by DigiHwy Certainty Sdn Bhd ("DHC", "we", "us", or "our"), registered in Malaysia with its principal place of business at Jalan SS 15/4, Subang Jaya, Selangor 47500, Malaysia. By creating an account or using the platform, you ("Organisation" or "you") agree to be bound by these Terms.

1. The Service

JoinNests provides a self-serve platform for membership-based organisations to manage member registrations, approvals, renewals, communications, and related workflows. The platform is provided as a software-as-a-service (SaaS) on a subscription basis.

2. Account Registration

You must provide accurate and complete information when creating an account. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must notify us immediately at partnerships@dhcertainty.com if you suspect any unauthorised access to your account.

3. Subscription Plans and Billing

JoinNests is offered on a tiered subscription basis. Plan details, pricing, and feature entitlements are as described on the pricing page at the time of subscription. Subscription fees are billed in Malaysian Ringgit (MYR). Monthly subscriptions are billed on a recurring monthly basis. Annual subscriptions are billed in full at the start of each billing period. Enterprise subscriptions are billed annually via invoice. All fees are non-refundable except as required by applicable Malaysian law. We reserve the right to change pricing with 30 days’ notice.

4. Free Trial

New accounts may access a 7-day free trial with full Pro plan features. No credit card is required to start a trial. At the end of the trial period, continued access requires a paid subscription. We reserve the right to modify or discontinue the free trial offering at any time.

5. Acceptable Use

You agree to use JoinNests only for lawful purposes and in accordance with these Terms. You must not use the platform to collect or process personal data without a lawful basis, transmit spam or unsolicited communications, attempt to gain unauthorised access to any part of the platform or its infrastructure, or engage in any activity that disrupts or interferes with the platform or other users.

6. Your Data

You retain full ownership of all data you upload to or generate through JoinNests, including member data. You grant DHC a limited, non-exclusive licence to process your data solely for the purpose of providing the service. We do not sell your data or use it for advertising. You are responsible for ensuring you have the right to collect and process the personal data of your members, and for complying with the Personal Data Protection Act 2010 (PDPA) and any other applicable data protection laws.

7. Data Retention and Deletion

Upon cancellation of your subscription, your data will be retained for 90 days to allow for export. After 90 days, all organisation data including member records, uploaded files, and configuration will be permanently deleted. You may request early deletion by contacting partnerships@dhcertainty.com. We will confirm deletion in writing.

8. Intellectual Property

JoinNests, its codebase, design, and content are the intellectual property of DigiHwy Certainty Sdn Bhd and AIS. All rights reserved. Your subscription grants you a limited, non-transferable licence to use the platform. You may not copy, modify, distribute, or reverse-engineer any part of the platform.

9. Service Availability

We aim to maintain high availability but do not guarantee uninterrupted access. We may carry out scheduled maintenance with advance notice where possible. We are not liable for any loss arising from temporary unavailability of the service.

10. Limitation of Liability

To the maximum extent permitted by Malaysian law, DHC’s total liability to you for any claim arising out of or relating to these Terms or the use of the platform shall not exceed the total fees paid by you in the 12 months preceding the claim. We are not liable for indirect, incidental, special, or consequential damages.

11. Termination

You may cancel your subscription at any time from your account settings. We may suspend or terminate your access if you breach these Terms, fail to pay fees, or engage in activity that poses a risk to the platform or other users. Upon termination, your right to use the platform ceases immediately subject to the data retention period in Section 7.

12. Governing Law

These Terms are governed by the laws of Malaysia. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Kuala Lumpur, Malaysia.

13. Changes to These Terms

We may update these Terms from time to time. We will notify you by email at least 14 days before material changes take effect. Continued use of the platform after the effective date constitutes acceptance of the updated Terms.
